Master Services Agreement (MSA)

1. Contracting Parties & Purpose

This Master Services Agreement ("Agreement") is entered into by and between Traject Technologies, Inc. ("Traject Technologies", "Company", "Vendor") and the customer ("Customer", "Subscriber") executing an Order Form referencing this Agreement. This Agreement governs Customer’s subscription to Traject Technologies’ proprietary platforms, including NodeNexus ("Platform", "Services").

2. SaaS Subscriptions & Seat Licensing

Traject Technologies grants Customer a non-exclusive, non-transferable right to access and utilize the Platform during the Subscription Term, subject to seat limits and tool module licenses designated on the Order Form.

3. Data Ownership & Multi-Tenant Isolation

Customer retains 100% ownership of all engineering BOMs, GIS vector layers, CAD files, and operational datasets imported into the Platform. Traject Technologies enforces strict cryptographic and logical partitioning of Customer data via PostgreSQL Row-Level Security and AES-256 encrypted object storage.

4. Service Levels & High Availability

Traject Technologies commits to a 99.9% Monthly Uptime Percentage for production instances. In the event of an unplanned service disruption exceeding SLA thresholds, Customer may be eligible for pro-rated service credits.

5. Security, Audits & Compliance

Traject Technologies maintains adherence to NIST SP 800-63B guidelines (enforcing AAL2/AAL3 multi-factor authentication) and ISO 9001:2015 quality control records for software release immutability.
